Terms of Service

These terms are an agreement between you and X23 Capital OÜ (registry code 16927377), Sepapaja 6, 15551 Tallinn, Estonia("we"), which operates FAIR under its X23 Labs product brand. FAIR is an acquisition-intelligence tool: it monitors public M&A activity and shows you potential acquirers, market signals and timing indicators for your company. By creating an account you accept these terms.

FAIR provides information, not recommendations. Nothing in the product — scores, rationales, rankings, signals, digests — is investment advice, legal advice, financial advice, a valuation, or a recommendation to sell, negotiate or transact. Acquirer scores and rationales are generated with AI from public data and your own briefing; they are estimates that can be wrong, incomplete or out of date. Verify independently before acting, and involve qualified advisors for any transaction.

Keep your credentials safe; you are responsible for activity under your account. Give us accurate information. One account per person. You must be at least 16 and using FAIR for business purposes.

• The free plan is free — no card required. Paid plans are billed monthly or annually in advance via Stripe.
• Cancel anytime from the billing portal; paid access continues until the end of the paid period. No partial-month refunds unless the law requires them.
• We may change prices with at least 30 days' notice; changes apply from your next billing cycle. Early-adopter pricing commitments we make are honoured.

Don't misuse the service: no scraping or reselling FAIR's output, no reverse engineering, no probing our systems, no sharing accounts, no using FAIR to build a competing dataset or product, and no unlawful use. We may suspend accounts that break these rules.

Your briefing and company data stay yours; you give us the licence needed to operate the service on your behalf (see the Privacy Policy, including our commitment that your data is never used in, or disclosed to, any M&A advisory engagement or advisory client). FAIR's software, design, models of analysis and content are ours.

FAIR is provided "as is". We don't warrant that coverage is complete, that signals are accurate, or that the service is uninterrupted. To the extent the law allows, our total liability for any claims arising from the service is capped at the amount you paid us in the 12 months before the claim, and we are not liable for indirect damages — including decisions made, or transactions pursued or abandoned, based on the product's output. Nothing in these terms limits liability that cannot be limited by law.

You can delete your account at any time (Briefing → Danger zone), which erases your data as described in the Privacy Policy. We may terminate accounts for breach of these terms, with notice where practicable.

If we change these terms materially we will notify you by email at least 14 days in advance; continued use after that means acceptance. These terms are governed by the laws of Estonia, and disputes belong to the courts of Estonia — without affecting mandatory consumer protections in your country of residence.
